License Agreement

This is a legal agreement between you, the end user, and Minaret Corporation ("Minaret Corp."). The Minaret Corp. software program Minaret is licensed by Minaret Corp. to you, the original customer, for use only on the terms set forth here. Please read this license agreement carefully before signing it. By signing this agreement you accept the terms of this agreement.

1. GRANT OF SINGLE USER LICENSE. Minaret Corp. grants you the right to use one copy of the Minaret Corp. software program, Minaret on a single terminal connected to a single computer for each license fee paid to and accepted by Minaret Corp. for a Single-User Version of Minaret. You may not network any copy of the Single-User Version of Minaret, or otherwise use any copy of the Single-User Version of Minaret on more than one computer or computer terminal at the same time. You may not use any copy of the Single-User Version of Minaret on more than one computer or computer terminal, unless that copy is being used by the same person on each computer or computer terminal.

2. GRANT OF MULTI-USER LICENSE. Minaret Corp. grants you the right to concurrently use one copy of the Minaret Corp. software program, Minaret for each license fee paid to and accepted by Minaret Corp. for a Multi-User (Network or UNIX) Version of Minaret. The number of copies of the Multi-User Version of Minaret running at the same time on any computers may not exceed the number of copies of the Multi-User Version of Minaret you have licensed.

3. COPYRIGHT. Minaret is owned by Minaret Corp. and is being licensed to you. License fees for Minaret are set by Minaret Corp. and may change prior to future purchases without notice. Minaret is protected by United States copyright laws and international treaty provisions.

4. OTHER RESTRICTIONS. You may not rent, lease, or transfer your rights to use Minaret. You may not reverse engineer Minaret, or use the program, screens, reports, databases, documentation or procedures in any manner, in order to create a product that is similar in function or appearance to Minaret.

5. RETURN PRIVILEGE. You may return Minaret to the authorized dealer from whom you took delivery for a refund of the purchase price minus any support, shipping and restocking charges within thirty (30) days of delivery of Minaret. The restocking charge will apply if the returned product is not in resalable condition. You must have proof of purchase and you must return all of the original documentation, disks and enclosures to receive a refund. If you return Minaret, you must destroy all backup copies of the returned Minaret software. This Return Privilege does not apply to upgrades of Minaret.

Limited Warranty:
Minaret Corp. warrants that the magnetic media on which the program is distributed and the documentation are free from defects in materials and workmanship under normal use and service for a period of ninety (90) days after receipt, and any implied warranty on the media or documentation is also limited to ninety (90) days. Minaret Corporation's entire liability and your exclusive remedy as to the media or documentation shall be, at Minaret Corporation's option, either (a) return of the purchase price or (b) replacement of the media or documentation that does not meet Minaret Corporation's Limited Warranty.

Except as specifically provided above, Minaret Corp. makes no warranty or representation, either express or implied, with respect to the Minaret program or documentation, including their quality, performance, merchantability, or fitness for a particular purpose.

Because programs are inherently complex and may not be completely free of errors, you are advised to validate your work. In no event will Minaret Corp. be liable for direct, indirect, special, incidental, or consequential damages arising out of the use of or inability to use the program or documentation, even if advised of the possibility of such damages. Specifically, Minaret Corp. is not responsible for any costs including but not limited to those incurred as result of lost profits or revenue, loss of use of the computer program, loss of data, the costs of recovering such programs or data, the cost of any substitute program, claims by third parties, or for other similar costs. In no case shall Minaret Corporation's liability exceed the amount of the license fee.

The warranty and remedies set forth above are exclusive and in lieu of all others, oral or written, express or implied. No Minaret Corp. dealer, distributor, agent or employee is authorized to make any modification or addition to this warranty. Some states do not allow the exclusion or limitation of implied warranties or limitation or liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you. In the U.K. this warranty does not affect the statutory rights of a consumer.

General:
This Agreement supersedes and replaces any prior agreements you may have had with Minaret Corp. and its predecessor Cactus Software, Inc. Any and all software that you have licensed from Minaret Corporation and its predecessor is now governed by the terms of this Agreement.
